Terms of Service

Welcome to The Basalyga Group. These Terms of Service ("Terms") govern your access to and use of the websites owned and operated by The Basalyga Group and its portfolio companies. By accessing or using any of our websites, you agree to be bound by these Terms. Please read them carefully. 

Scope and Covered Websites

These Terms apply to your use of all websites operated by The Basalyga Group and its affiliated portfolio companies, including but not limited to the following: 

 

The Basalyga Group 

The parent holding company and its corporate website. The Basalyga Group oversees a diverse portfolio of businesses spanning construction, residential services, hospitality, healthcare, and retail.

Eastern Roofing Systems Inc. 

A professional commercial and residential roofing company providing installation, repair, and maintenance services throughout the region.

Eastern Residential Solutions 

A provider of comprehensive residential contracting and home improvement services including exterior renovation and related home services.

Basalyga Hospitality 

The hospitality division of The Basalyga Group, encompassing hotel, restaurant, and event venue operations.

Serenity Care 

A provider of personal care, assisted living support, and wellness services dedicated to the health and comfort of its clients.

The Marketplace at Steamtown

A retail and commercial marketplace providing shopping, dining, and entertainment experiences to guests and tenants. 

 

Collectively, these entities and their respective websites are referred to in these Terms as the "Websites" or "Services." All entities listed above are subsidiaries, affiliates, or portfolio companies of The Basalyga Group (collectively, "The Basalyga Group," "we," "us," or "our"). 

Acceptance of Terms

By accessing or using any of our websites, you represent that: 

  • You are at least 18 years of age, or the age of majority in your jurisdiction; 

  • You have the legal authority and capacity to enter into a binding agreement; 

  • You have read, understood, and agree to be bound by these terms; and 

  • You agree to comply with all applicable local, state, national, and international laws and regulations. 

 

If you are using the websites on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these terms. If you do not agree with any portion of these terms, you must discontinue use of the websites immediately. 

Permitted Use of Websites

You may use our Websites for lawful purposes only. You agree not to: 

  • Use any Website in a manner that violates any applicable federal, state, local, or international law or regulation; 

  • Engage in unauthorized framing, scraping, data mining, or harvesting of any content or data from the Websites; 

  • Transmit any unsolicited or unauthorized advertising, promotional materials, or spam; 

  • Attempt to gain unauthorized access to any portion of the Websites or related systems; 

  • Upload or transmit any viruses, malicious code, or harmful programs; 

  • Interfere with or disrupt the integrity, security, or performance of any Website; 

  • Collect or store personal data about other users without their express consent; 

  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity; 

  • Use the Websites in any way that could damage the reputation, goodwill, or business interests of The Basalyga Group or any of its portfolio companies.

We reserve the right to terminate or restrict your access to any Website at our sole discretion, without notice, for any violation of these Terms or for any other reason. 

Intellectual Property Rights

All content appearing on the Websites, including but not limited to text, graphics, logos, photographs, audio clips, digital downloads, data compilations, and software, is the property of The Basalyga Group or its content suppliers and is protected by applicable United States and international copyright, trademark, and intellectual property laws. 

 

The trademarks, service marks, and trade names of The Basalyga Group and its portfolio companies — including but not limited to The Basalyga Group, Eastern Roofing Systems Inc., Eastern Residential Solutions, Basalyga Hospitality, Serenity Care, and The Marketplace at Steamtown — may not be used in connection with any product or service that is not affiliated with The Basalyga Group, in any manner that is likely to cause confusion, or in any manner that disparages or discredits any Basalyga Group entity. 

 

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Websites for personal, non-commercial purposes only. This license does not include: 

  • Any resale or commercial use of the Websites or their content; 

  • Any collection or use of product listings, descriptions, or prices; 

  • Any derivative use of the Websites or their content; 

  • Any downloading, copying, or other use of account information for the benefit of any third party; or 

  • Any use of data mining, robots, or similar data gathering and extraction tools. 

User-Submitted Content

Certain areas of our Websites may permit you to submit, post, or upload content including reviews, comments, photos, or other materials ("User Content"). By submitting User Content, you: 

  • Represent and warrant that you own or have all necessary rights to submit the content; 

  • Grant The Basalyga Group a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, and distribute such content worldwide; 

  • Acknowledge that you remain responsible for the accuracy and legality of your submissions.

We reserve the right to remove any User Content at any time, for any reason, without notice. We do not endorse or guarantee the accuracy of any User Content submitted by visitors to our Websites. 

Privacy Policy

Your use of the Websites is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, share, and protect information about you when you use our Websites and Services. By using our Websites, you consent to the collection and use of your information as described in our Privacy Policy. 

 

We are committed to protecting the privacy and security of information we collect, in accordance with applicable state and federal laws, including but not limited to the Pennsylvania Breach of Personal Information Notification Act and applicable provisions of federal consumer protection law. 

Disclaimers of Warranties

THE WEBSITES AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH THEM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE BASALYGA GROUP AND ITS PORTFOLIO COMPANIES EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION:

  • Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement; 

  • Any warranty that the Websites will be uninterrupted, timely, secure, or error-free; 

  • Any warranty regarding the accuracy, reliability, or completeness of any content on the Websites; 

  • Any warranty that defects will be corrected, or that the Websites are free of viruses or other harmful components. 

 

The Basalyga Group makes no representations or warranties about the suitability of the information and materials found on the Websites for any purpose. Use of such information and materials is entirely at your own risk. 

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE BASALYGA GROUP, ITS PORTFOLIO COMPANIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITES OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

 

In jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages, the liability of The Basalyga Group shall be limited to the greatest extent permitted by law. In no event shall the total aggregate liability of The Basalyga Group to you for all claims arising out of or related to the Websites exceed one hundred U.S. dollars ($100.00). 

Third Party Links and Content

The Websites may contain links to third-party websites or display content provided by third parties. These links are provided for your convenience only. The Basalyga Group has no control over the content, privacy practices, or policies of any third-party sites or services, and accepts no responsibility for them or for any loss or damage that may arise from your use of them. 

 

The inclusion of any link on our Websites does not imply our endorsement, sponsorship, or recommendation of the linked website or its operator. You access and use third-party websites entirely at your own risk. 

Indemnification

You agree to defend, indemnify, and hold harmless The Basalyga Group, its portfolio companies, and their respective officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: 

  • Your violation of these Terms; 

  • Your use of or reliance on the Websites; 

  • Your violation of any third-party rights, including any intellectual property, privacy, or proprietary rights; 

  • Any User Content you submit to the Websites; or 

  • Any fraudulent, harmful, or illegal activity by you in connection with the Websites. 

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. You agree that any dispute arising from or relating to these Terms or your use of the Websites shall be subject to the exclusive jurisdiction of the state and federal courts located in Lackawanna County, Pennsylvania. 

 

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days following written notice of the dispute. Nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction. 

Modifications to These Terms

The Basalyga Group reserves the right to update, modify, or replace these Terms at any time at its sole discretion. When changes are made, we will update the effective date at the top of this document. Material changes may also be communicated via a notice posted on one or more of our Websites. 

 

Your continued use of any of the Websites following the posting of revised Terms constitutes your acceptance of those changes. We encourage you to review these Terms periodically to stay informed of any updates. 

Termination

We reserve the right to suspend or terminate your access to any or all of the Websites, with or without cause and with or without notice, effective immediately. Grounds for termination may include, without limitation, your violation of these Terms or conduct that we determine, in our sole discretion, to be harmful to us, other users, or third parties. 

 

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including Sections 4 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 10 (Indemnification), and 11 (Governing Law).

The Basalyga Group is committed to ensuring that our Websites are accessible to individuals with disabilities. We strive to meet or exceed applicable accessibility guidelines, including the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Websites, constitute the entire agreement between you and The Basalyga Group with respect to your use of the Websites and supersede all prior or contemporaneous communications and proposals. 

 

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The failure of The Basalyga Group to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
